Partner terms of use

These terms apply when you use the Upelo Partners web portal at partners.upelo.io, Upelo Partners (for tablets) or Upelo Light (for phones) — the tools restaurant owners and staff use to run a restaurant's ordering page: orders, menu, hours, delivery zones, payments, receipt printers, team access and billing. Where a restaurant has a separate written agreement with Upelo, that agreement governs fees and service levels and takes precedence over these terms if they conflict. Where a restaurant signed up for Upelo itself on upelo.io, these terms are the agreement between the restaurant and Upelo. By creating an account or signing in you agree to them.

Eligibility

You may use the portal and the apps only on behalf of a restaurant on the Upelo platform that has authorised you to do so. Staff accounts are not created in the apps: owners invite staff through the web portal, and your access is tied to the role and outlets the restaurant assigns to you, which the restaurant may change or withdraw at any time. You must be at least 18 and able to enter into a binding agreement.

Creating a restaurant yourself (self-serve)

In regions where self-serve sign-up is offered, you can create a restaurant's ordering page on upelo.io by giving the restaurant's name and country, your name and email address, and confirming the email. By doing so you represent that you own the restaurant or are authorised by its owner to put it online and to accept these terms on its behalf; that the name, logo, menu and details you add are accurate and yours to use; and that you will keep your contact details current. Upelo may ask for evidence of authority, may show verification signals to its own staff, and may suspend or remove a page that it reasonably believes impersonates a business or misleads customers. Pages are created by the person who confirms the email; if you create one by mistake, write to support and it will be removed.

Free trial

A self-serve page starts with a 15-day free trial that includes every feature and takes real orders. Nothing is charged during the trial and no card is needed to start. To keep the page live after the trial, choose a plan on the Billing page and add a payment method before the trial ends. If you don't, the page is paused — customers see that it is not taking orders — and your menu and settings are kept so that adding a payment method brings it back. One trial per restaurant; Upelo may decline a trial where one has already been used.

Subscription and billing

The plan and its price are shown on your Billing page before you add a card and are the prices that apply, in the currency shown, exclusive of taxes that Upelo is required to charge. Plans are billed monthly through Stripe to the payment method on file: a flat monthly fee, plus either a fee per order above the orders included in the plan, or a percentage of every order placed through the page (cash and card alike) with the monthly fee as the minimum. Usage charges are calculated from the orders recorded on the platform and appear on the next monthly invoice. The first invoice is issued on the 1st of the month after the trial ends; the rest of the month in which the trial ends is free. Upelo may change prices with at least 30 days' notice by email; continuing to use the service after the change takes effect means you accept the new price.

Failed payments, pausing and ending

If a charge fails, Upelo will tell you and retry; the page stays live for 7 days so you can update the card, after which it is paused until payment succeeds. You can end your subscription at any time from the Billing page; it ends at the close of the current billing month and there are no refunds for part of a month, except where a charge was Upelo's error, which is refunded. Upelo may end or suspend the service for breach of these terms, for non-payment, where the page impersonates a business or is used unlawfully, or if required by law, and may end the service generally with at least 30 days' notice. After a subscription ends, the page is paused immediately and its data is kept for 30 days so it can be reactivated, then deleted, except for records Upelo must keep by law.

Your account and credentials

You sign in with your email address and password, plus a one-time code sent to your email address on a new device. Keep your credentials confidential and do not share your account with anyone — every action taken while signed in is attributed to you. Tell the restaurant owner immediately if you believe your account has been compromised; the owner can remove access from the web portal.

Acceptable use

Use the portal and the apps only to manage the restaurant you are authorised for and only in the way the restaurant has instructed. Do not create or run a page for a business you do not own or represent; do not attempt to access accounts, outlets or restaurants you are not assigned to; do not probe, disrupt or overload the platform or bypass its security; do not copy, reverse-engineer or resell the apps; and do not use them for anything unlawful or to sell anything you are not licensed to sell. Upelo may suspend an account or a page used in these ways and may act on reports from customers or from the business concerned.

The restaurant's responsibilities

The restaurant is responsible for how it uses the platform: for accepting, preparing and fulfilling the orders it receives, for the accuracy of its menu, prices, opening hours and outlet details, for handling refunds and complaints from its customers, and for the personal data of its customers in line with its own privacy policy and applicable law. Upelo processes customer data on the restaurant's behalf and does not take over these obligations. Owners are responsible for the accounts they create and for removing access when someone leaves.

Service availability

Upelo works to keep the apps and the platform available and accurate, but they are provided "as is" and "as available", without any warranty that they will be uninterrupted, error-free or fit for a particular purpose. Maintenance, network problems, device issues or third-party outages (for example push-notification or payment providers) can affect the service. Keep a fallback in place for taking orders if the apps are unavailable.

Limitation of liability

To the fullest extent permitted by law, Upelo is not liable for lost revenue, lost profits, lost data or any indirect or consequential loss arising from your use of the apps, including orders missed because a device was offline or notifications were turned off. Nothing in these terms excludes liability that cannot be excluded by law. Any liability Upelo has towards the restaurant is governed by the agreement between the restaurant and Upelo.

Intellectual property

The apps, the platform and their content belong to Upelo and its licensors. The restaurant's own content — its name, logo, menu, images and business data — remains the restaurant's; by adding it you give Upelo a licence to show it on the ordering page and in the apps, and in the emails and notifications the service sends, for as long as the page exists. Ordering pages carry a small "Powered by Upelo" credit. You receive only a limited, revocable right to use the portal and the apps on the restaurant's behalf.

Termination

The restaurant can end your access at any time by removing your account in the web portal, and you can delete your own account from within the apps (see upelo.io/partners/account-deletion). Upelo may suspend or end access to the apps if these terms are breached, if the restaurant's subscription ends, or if required by law. When access ends, your profile is deactivated and your personal data is handled as described in the partner app privacy policy; the restaurant's business records remain with the restaurant.

Governing terms and changes

Where a restaurant has a separate written agreement with Upelo, its commercial terms — fees, service levels, data processing and the law and courts that apply to disputes — take precedence over these terms if they conflict. For self-serve restaurants these terms are the whole agreement; the service is provided by the Upelo entity named on your invoices, and the law of that entity's place of incorporation applies, without affecting consumer protections that apply where you are based. These terms may be updated from time to time; the date on this page shows the latest version, material changes are announced by email or in the portal at least 30 days in advance, and continuing to use the service after an update means you accept the updated terms.
